Leads FZE, Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates · Trade Licence No. 4420065

These Terms of Service (the “Terms”) govern access to and use of our website and the services provided by Leads FZE (“Leads”, “we”, “us”), including AI calling and messaging, lead generation (including pay-per-lead and pay-per-call), performance marketing and advertising campaign management on platforms such as Google, Meta and LinkedIn, WhatsApp messaging campaigns, call tracking and event management. By signing an Order Form that references these Terms, clicking to accept them, creating an account, or using the Services, you agree to be bound by these Terms on behalf of the business you represent. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal data.

1. Agreement to these Terms

These Terms form a binding agreement between Leads FZE, a free zone establishment incorporated under the laws of the United Arab Emirates with registered address at Business Centre, Sharjah Publishing City Free Zone, Sharjah, UAE, and the business entity that accepts them (the “Customer”, “you”). Each of Leads and the Customer is a “Party”.

You accept these Terms by whichever of the following happens first: (a) signing or electronically executing an Order Form that references these Terms; (b) clicking a button or checking a box indicating acceptance; or (c) accessing or using the Services. The individual accepting on behalf of a company or other legal entity represents that they have authority to bind that entity.

Most Services are offered to businesses. Event management services, including weddings and private celebrations, may also be booked by individuals. If you are a consumer, nothing in these Terms limits the rights you have under UAE Federal Law No. 15 of 2020 on Consumer Protection. The Services are not intended for anyone under 18.

2. Definitions

“AI Output” means any output generated by the artificial-intelligence components of the Services, including voice and text conversations, transcripts, summaries, lead statuses, classifications and appointment bookings.

“Intellectual Property Rights” means patents, copyright, database rights, design rights, trade marks, trade secrets, know-how and all other intellectual property rights, whether registered or unregistered, anywhere in the world.

“Order Form” means an ordering document or online order (including a statement of work) executed or accepted by the Parties that describes the Services, Deliverables, fees and other commercial terms, and which incorporates these Terms.

“Personal Data” has the meaning given in the DPA and applicable data protection law.

3. The Services and your account

Leads will provide the Services with reasonable skill and care and in accordance with the applicable Order Form. Leads may use subcontractors — including third-party providers of artificial-intelligence models, speech and language services, telephony, hosting and messaging infrastructure — to perform the Services, and remains responsible for their performance as if it were Leads’ own.

You must provide the access, information, accounts, cooperation and approvals reasonably required for Leads to provide the Services. Leads’ ability to deliver the Services depends on your timely fulfilment of your obligations, and Leads will not be in breach of these Terms to the extent a delay or failure results from your acts or omissions or from any third-party service or platform.

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us promptly at info@leadsfze.com of any unauthorised use of your account.

4. Order Forms and order of precedence

These Terms govern all Services provided by Leads to the Customer. Each Order Form forms a separate contract incorporating these Terms. If there is a conflict between a signed change order, an Order Form, these Terms and the DPA, the order of precedence is (documents listed first prevailing over documents listed later):

  1. any signed change order, with later-dated change orders prevailing over earlier ones;
  2. the relevant Order Form, in respect of the description of Services, Deliverables, fees, timelines and service levels;
  3. the relevant Master Service Agreement (MSA), if signed, in respect of all other matters;
  4. these Terms, in respect of all other matters; and
  5. the DPA,

provided that the DPA prevails over the other documents in respect of any matter relating to the processing of Personal Data, and these Terms prevail in respect of confidentiality, liability, intellectual property and the other general terms set out here.

5. Fees, invoicing and taxes

  • You will pay the Fees set out in each Order Form or applicable pricing plan in accordance with the stated payment terms.
  • All Fees are exclusive of Value Added Tax (VAT) and any other applicable taxes, which will be added to invoices at the prevailing statutory rate and paid by you.
  • All charges payable to third parties — including telephony and telecommunications charges, contact-centre and SIP charges, WhatsApp and messaging-platform charges, and CRM and software licence fees — are your sole responsibility and are payable by you directly to the relevant provider, unless expressly stated otherwise in an Order Form.
  • Undisputed invoices not paid by the due date may, at Leads’ discretion, accrue interest at one percent (1%) per month on the overdue amount, and Leads may suspend the Services on ten (10) business days’ prior written notice until payment is received.

6. Customer responsibilities and regulatory compliance

6.1 Your control of campaigns

You direct and control the use of the Services, including which individuals are called or messaged, the content of campaigns, scripts and offers, and the timing and frequency of contact. You use the Services, including all AI calling and AI WhatsApp messaging, entirely at your own risk and on your own behalf.

6.2 Consent and lawful basis

You are solely responsible for ensuring that, before any person is called, messaged or otherwise contacted through the Services, you have a valid lawful basis and all necessary consents and permissions to contact that person for the relevant purpose. This includes ensuring that recipients have not registered on the UAE Do Not Call Registry (DNCR) or any equivalent suppression list, and that all contact complies with applicable laws, regulations and codes, including those of the UAE Telecommunications and Digital Government Regulatory Authority (TDRA), the UAE telemarketing and consumer-protection rules, applicable data protection law, and the policies of WhatsApp and Meta.

6.3 Allocation of regulatory risk

Any and all liability, claims, complaints, fines, penalties, regulatory sanctions, account suspensions or other consequences (including administrative penalties imposed under UAE Cabinet Resolution No. 56 of 2024 concerning the Telemarketing Regulations and UAE Cabinet Resolution No. 57 of 2024 concerning the related administrative violations and penalties, in each case as amended or replaced) arising from or in connection with the contacting of any person through the Services — including calling or messaging any unsolicited recipient, any number registered on the DNCR or any equivalent suppression list, or any person who complains about or objects to receiving a call or WhatsApp message — are your sole and exclusive legal responsibility. Leads bears no responsibility or liability whatsoever for any such matter and does not share in any such liability in any way. Leads acts solely as a technology provider executing your instructions and campaigns and has no knowledge of, and assumes no responsibility for, the lawfulness of your contact lists, consents or campaign content.

6.4 Your indemnity

You will indemnify, defend and hold harmless Leads and its Affiliates, and their respective officers, directors, employees and agents, from and against all losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) any breach by you of Sections 6.1 to 6.3 or Section 7; (c) any claim, complaint, fine or penalty (including any administrative penalty under the UAE telemarketing regulations referred to in Section 6.3) arising from any call or message made through the Services to any person, including unsolicited recipients, recipients registered on the DNCR, or complaining recipients; (d) the content of your campaigns, scripts or offers; and (e) your contact lists, consents or lawful basis (or the absence thereof).

6.5 Third-party accounts

You will obtain and maintain, at your own cost and in good standing, all third-party accounts required for the Services (including your CRM, contact-centre/telephony and WhatsApp Business accounts), and will ensure your use of those accounts complies with the relevant providers’ terms of service.

7. Acceptable use

You must not, and must not permit anyone else to:

  • use the Services in breach of any applicable law or regulation, or to send unlawful, fraudulent, deceptive, harassing or abusive communications;
  • upload contact lists or content that you do not have the right to use;
  • reverse engineer, decompile, copy or attempt to extract the source code, models, prompts or voice designs of the Platform, except to the extent permitted by law;
  • resell, sublicense or provide the Services to third parties except as expressly permitted in an Order Form;
  • interfere with or disrupt the integrity or performance of the Platform, or attempt to gain unauthorised access to it; or
  • use the Services to impersonate any person or misrepresent the identity of the caller or sender in a manner prohibited by applicable law.

8. AI-generated output and disclaimers

8.1 The Services rely on artificial-intelligence technologies, including large language models and speech synthesis, which are probabilistic in nature. AI Output may contain errors, inaccuracies or omissions, may misinterpret a conversation, may generate information that is incorrect or fabricated, and may not always perform as intended. Leads does not warrant that AI Output will be accurate, complete, error-free or suitable for any particular purpose.

8.2 You are responsible for reviewing and verifying AI Output before relying on it, including verifying appointments booked by the Services, lead statuses and data written to your CRM, and the accuracy of transcripts and summaries. Leads is not liable for any decision made, or action taken or omitted, by you or any third party in reliance on AI Output.

8.3 Except as expressly set out in an Order Form (including any service levels), the Services are provided “as is” and Leads disclaims all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

9. Intellectual property and Customer Data

9.1 The Platform

All Intellectual Property Rights in and to the Platform — including all software, source code, models, AI prompts, scripts, personas, voice designs, methodologies, documentation and any improvements or derivative works — are and remain the exclusive property of Leads. Subject to your payment of the Fees, Leads grants you a non-exclusive, non-transferable, non-sublicensable licence to access and use the deployed Services for your internal business purposes during the term of the relevant Order Form.

9.2 Customer Data

You retain all right, title and interest in and to the Customer Data. You grant Leads a licence to use the Customer Data to the extent necessary to provide the Services.

9.3 Leads’ IP indemnity

Leads will indemnify you against third-party claims to the extent that the Platform, as provided by Leads and used in accordance with these Terms, infringes the Intellectual Property Rights of that third party, provided that you promptly notify Leads of the claim, allow Leads to control the defence and settlement, and provide reasonable cooperation. This indemnity does not apply to claims arising from the Customer Data, your campaigns or content, or any modification or use of the Services not authorised by Leads.

10. Confidentiality

10.1 “Confidential Information” means any non-public information disclosed by one Party (the “Disclosing Party”) to the other (the “Receiving Party”) in connection with these Terms — whether orally, in writing, electronically or by any other means — that is identified as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure, including business plans, pricing, customer and lead data, technical information and the terms of any Order Form.

10.2 The Receiving Party will: (a) use Confidential Information solely for the purpose of performing or receiving the Services; (b) protect it using at least the same degree of care it uses for its own confidential information, and no less than a reasonable degree of care; and (c) not disclose it to any third party except to its employees, Affiliates and subcontractors who need to know it for that purpose and who are bound by confidentiality obligations no less protective than these.

10.3 These obligations do not apply to information that: (a) is or becomes public through no fault of the Receiving Party; (b) was lawfully known to the Receiving Party before disclosure; (c) is lawfully received from a third party without a duty of confidentiality; or (d) is independently developed without reference to the Confidential Information. The Receiving Party may disclose Confidential Information to the extent required by law or court order, provided it gives reasonable prior notice where lawful.

10.4 On termination of these Terms, or on the Disclosing Party’s written request, the Receiving Party will return or destroy the Confidential Information, save for copies required to be retained by law or held in routine backup systems. This Section 10 survives for three (3) years following termination.

11. Data protection

Each Party will comply with applicable data protection law in connection with the processing of Personal Data under these Terms. The processing of Personal Data is governed by the DPA, which the Parties will execute prior to the commencement of any processing of Personal Data. As between the Parties, you are responsible for ensuring you have the lawful basis and consents necessary for the Personal Data you provide or direct Leads to process, as set out in Section 6 and the DPA.

Unless an Order Form expressly states otherwise, the Platform is hosted on infrastructure located within the United Arab Emirates on logically separated machines, and Customer Data held within the Platform (including call recordings, transcripts, lead statuses and related lead details, to the extent held within the Platform rather than written to your own systems) is stored within the United Arab Emirates. Where containerised workloads are used, each container or equivalent isolation boundary constitutes a logically separated machine for the purposes of these Terms.

Our handling of personal data relating to visitors to our website and our own business contacts is described in our Privacy Policy. Where we contact individuals as part of a campaign run for you, you are the data controller responsible for that contact.

12. Limitation of liability

12.1 Nothing in these Terms excludes or limits either Party’s liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

12.2 Subject to Section 12.1, neither Party is liable to the other for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, goodwill or anticipated savings, whether arising in contract, tort (including negligence) or otherwise.

12.3 Subject to Sections 12.1 and 12.4, the total aggregate liability of each Party arising out of or in connection with these Terms and all Order Forms, whether in contract, tort (including negligence) or otherwise, will not exceed the total Fees paid by the Customer to Leads under the relevant Order Form in the three (3) month period immediately preceding the event giving rise to the claim.

12.4 Exclusions from the cap. The limitation in Section 12.3 does not apply to: (a) your obligation to pay Fees; (b) your indemnity obligations under Section 6.4; (c) either Party’s breach of the confidentiality obligations in Section 10; (d) Leads’ IP indemnity under Section 9.3; and (e) the matters set out in Section 12.1. The liabilities in (b) and (d) are uncapped.

13. Term, suspension and termination

13.1 Term

These Terms apply from the date you accept them and continue for so long as any Order Form remains in effect or you continue to use the Services.

13.2 Termination for convenience

Unless the relevant Order Form states otherwise, either Party may terminate an Order Form for convenience on thirty (30) days’ prior written notice. On such termination, all Fees accrued up to the effective date of termination, including any pro-rated recurring fee for the month in which termination becomes effective, remain payable, and any one-time setup fee is non-refundable.

13.3 Termination for cause

Either Party may terminate these Terms and/or any Order Form immediately on written notice if the other Party commits a material breach that remains uncured for thirty (30) days following written notice of the breach, or if the other Party becomes insolvent, enters liquidation, or is unable to pay its debts as they fall due.

13.4 Suspension

In addition to its suspension right for non-payment under Section 5, Leads may suspend the Services immediately if it reasonably believes your use of the Services breaches Section 6 or 7, poses a security risk, or exposes Leads to regulatory action or liability. Leads will notify you and lift the suspension once the issue is resolved.

13.5 Exit and transition assistance

On expiry or termination of an Order Form for any reason, Leads will provide reasonable assistance in transitioning away from the Services for up to thirty (30) days following the effective date of expiry or termination (the “Transition Period”). This includes the export of any Customer Data held within the Platform that has not already been written to your own systems, in a structured, machine-readable format (such as CSV or JSON), the provision of reasonable configuration documentation, and up to ten (10) hours of remote knowledge-transfer time. Transition assistance beyond ten (10) hours is invoiced at Leads’ then-current rate. During the Transition Period, the recurring fee under the relevant Order Form continues to apply on a pro-rata basis for so long as you require continued access to the Services. Following the Transition Period, Leads will delete or anonymise all Customer Data held within the Platform in accordance with the DPA, save for any data Leads is required to retain by applicable law.

13.6 Effect of termination

Termination does not affect any rights, remedies, obligations or liabilities accrued as at the date of termination. Provisions concerning fees accrued, intellectual property, confidentiality, limitation of liability, indemnities, exit assistance and governing law survive termination.

14. Non-solicitation

While these Terms are in effect and for twelve (12) months afterwards, neither Party will, directly or indirectly, solicit for employment or engagement any employee or contractor of the other Party who was involved in the provision or receipt of the Services, without the other Party’s prior written consent. This does not prevent either Party from employing a person who responds to a general recruitment advertisement not specifically targeted at the other Party’s personnel.

15. Publicity

You grant Leads the right to identify you as a customer and to use your name and logo in Leads’ marketing, website, portfolio, case studies and promotional materials. Leads will do so in a manner consistent with any reasonable brand guidelines you provide, and will cease such use on your reasonable written request following termination.

16. Changes to the Services and these Terms

Leads may improve, update or modify the Platform from time to time, provided the changes do not materially reduce the core functionality of the Services purchased under an active Order Form.

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. For material changes, we will give you reasonable advance notice by email or through the Services. Changes apply from their effective date and do not apply retroactively; if you do not agree to a material change, you may terminate the affected Order Form by written notice before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

17. General

17.1 Entire agreement. These Terms, together with the Order Forms and the DPA, constitute the entire agreement between the Parties with respect to their subject matter and supersede all prior proposals, discussions and communications, whether written or oral.

17.2 Anti-bribery and compliance. Each Party will comply with all applicable anti-bribery, anti-corruption and sanctions laws, and will not engage in any activity that would cause the other Party to breach such laws.

17.3 Force majeure. Neither Party is liable for any failure or delay in performing its obligations (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, or failure of public utilities or telecommunications networks. If such an event continues for more than sixty (60) consecutive days, either Party may terminate the affected Order Form on written notice.

17.4 Assignment. Neither Party may assign or transfer these Terms without the other Party’s prior written consent, save that either Party may assign to an Affiliate or to a successor in connection with a merger, acquisition or sale of substantially all of its assets, on written notice.

17.5 Notices. Formal notices under these Terms must be in writing and delivered to the addresses set out in the relevant Order Form, or for Leads to the address in Section 20, or to such other address as a Party designates in writing.

17.6 Independent contractors. The Parties are independent contractors; nothing in these Terms creates any partnership, joint venture, agency or employment relationship.

17.7 No waiver; severability. No failure or delay in exercising any right is a waiver of it. If any provision is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

17.8 Governing law. These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Sharjah.

17.9 Dispute resolution. The Parties will use good faith efforts to resolve any dispute through direct negotiation between authorised senior representatives within thirty (30) days of written notice of the dispute. If unresolved within that period, the dispute will be referred to and finally resolved by the courts of Sharjah, which have exclusive jurisdiction.

17.10 Electronic records. Order Forms, acceptances, notices and other communications may be made electronically and are valid under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

18. Service-specific terms

18.1 Advertising and performance marketing

Advertising budgets are paid to the advertising platform (such as Google, Meta or LinkedIn) as agreed in the Order Form and are separate from our management fees. Platforms apply their own policies and may reject, limit or remove ads or accounts. Unless an Order Form expressly says otherwise, we do not guarantee specific rankings, traffic, lead volumes, costs per lead or sales.

18.2 Pay-per-lead and pay-per-call

The criteria for a billable lead or call, any exclusions (such as duplicates or out-of-area enquiries), the period for reporting invalid leads or calls, and any replacement or credit terms are set out in the Order Form. You must use leads only to respond to the enquiry for the service described, handle them in line with UAE data protection law, and respect any opt-out or Do Not Call Registry restriction.

18.3 WhatsApp messaging campaigns

Campaigns are sent only to recipients who have opted in to receive messages from you. Message templates are subject to Meta’s approval and WhatsApp may restrict or suspend numbers that breach its policies. Minimum campaign charges and per-recipient rates are as stated in our pricing or Order Form.

18.4 Call tracking and call recording

Tracking numbers are provided for the term of the Order Form and remain the property of Leads or its telephony provider. Calls are recorded only where callers are notified at the start of the call, and recordings are kept for the period agreed in the Order Form.

18.5 Event management

Quotes, deposits, payment schedules, changes, postponements and cancellation charges are set out in the booking confirmation or Order Form. Venues and suppliers may apply their own terms, which we will share with you. Unless agreed otherwise, we arrange the event permits and approvals required by the competent UAE authorities for the services we deliver. You are responsible for the conduct of your guests and for damage they cause at the venue.

19. Website use

Content and prices on our website are for general information and do not form an offer. A quote or Order Form issued by us prevails. You may not copy or reuse website content for commercial purposes without our written permission. Links to third-party websites are provided for convenience and we are not responsible for their content.
